Our inaugural report from the Elphinstone Research Group Legal Research Branch is out now!

This acquisition analysis brief examines Ingredion’s recommended acquisition of Tate & Lyle, one of the London market’s longest-standing names.


Our Legal Research team worked on the 46-page analysis, covering the scheme of arrangement, the Takeover Code, competition, employment, intellectual property and integration.


We found a strong commercial case and a clear legal route to full ownership. The difficult part comes next: regulatory clearance, bringing the businesses together and keeping the expertise that makes Tate & Lyle valuable.


One issue stood out. Ingredion is targeting around $130 million in annual savings. At the same time, up to £18 million may be used to retain key employees, while possible workforce reductions could affect up to 3% of the combined group, around 475 people.


That balance between saving money and keeping specialist knowledge runs through the report.


We set up the branch to give students the chance to work together on practical legal research. This is our first publication, and we’re proud of the work behind it.
